Working With Tyr Formulations

This short piece of writing outlines what both parties agree to when development (also known as ‘Product Formulation’) of new products take place to allow the product development process to progress smoothly with the best possible outcomes for both parties. Please read these terms carefully as payment of associated invoices assumes acceptance of these good faith terms.

SECTION ONE:

What does Tyr Formulations provide during and in conclusion of the Product Formulation process?

  1. COMMUNICATION:

    Dr. Edward Jones or another Tyr Formulations associate is available via email Monday-Friday, 08:00-16:00. We aim to respond to all emails within 24 hours during the working week and are likely to respond much more promptly. Emails outside of these hours may not be responded to and will be picked up as soon as possible on the next working day. Please rest assured that when a project begins, we have a strict and clear workflow that we follow internally, and we do not expect our team or Dr. Edward Jones to contact you (the Client) unless there is a significant update that is worth your time and consideration. Not being contacted everyday does not mean you project is not progressing smoothly.

  2. SAMPLES (Assuming Option 1 of Product Formulation Service has been Requested)

    An initial product sample is created based on information returned to us by the client in the form of a Client R&D Form. This sample will be dispatched in appropriate but example-only packaging. Unless specified, sample volume will also be example-only. This sample is accompanied by a Digital Specification Sheet (via email) explaining what the sample contains (INCI), it’s key active ingredients and a general product description.

  3. REFINEMENT (Assuming Option 1 of Product Formulation Service has been Requested)

    Clients can pay £95/hr for Laboratory Refinement Time in which changes can be made to the initial formula. Most refinements and changes can be made in a single hour however this is not always the case. If more than 1 hour of lab time is expected, Client will be notified before payment.

  4. TECHNICAL FILES (Assuming Option 1 of Product Formulation Service has been Requested)

    When the client has signed off the formulation as complete which may or may not be prior to REFINEMENT, I will provide specific paperwork relating to the project. Paperwork includes 1) A condensed PIF file containing the exact formula and other observations 2) a Method of Manufacture and 3) A Product Specification Sheet. I will also compile a full collection of Safety Data Sheets related to each ingredient in the formula.

  5. PRODUCT NOTIFICATION
    Tyr Formulations does not act as a Responsible Person for formulas and is not responsible for submitting formulas to the SPNP or the CPNP for UK and EU sale respectively. We can make appropriate introductions to companies that specialise in this service. RP is a legal requirement for sale and general cosmetic compliance; do not overlook it!

  6. FORMULA (IP) OWNERSHIP

    On receipt of the technical paperwork, the developed formula is now the legal property of the paying party i.e., the client.

SECTION TWO:

On Payment of Associated Invoices, Tyr Formulations Agrees to the Below:

1.To design and create one (or more) high-quality personal care product(s) using carefully sourced, cruelty free ingredients.

a. Tyr Formulations will include as many Hero Ingredients requested on the returned Client R&D Form providing, they can be sourced in the UK or EU, do not conflict with the product brief in general, do not cause compatibility issues with other key ingredients in the formula and are considered skin safe based on UK standards.

b. Tyr Formulations will communicate clearly if certain requested ingredients are considered unsafe, non-compliant or will fundamentally conflict with the client’s vision. An example of this would be commissioning the development of a vegan line of personal care products but requesting the inclusion of animal-sourced ingredients.

c. Tyr Formulations will, to the best of its ability, source ingredients with the lowest environmental impact without impacting formulation quality.

d. Tyr Formulations will, on conclusion of the development project, provide several detailed technical files in a timely manner to the client (Section1, Point 4).

2. To the best of our ability, follow requests and suggestions laid out in the returned Client R&D Form(s) so long as these requests and suggestions are realistic, feasible and do not conflict with other requests and suggestions laid out by the client on the same form.

a. Where requests or suggestions are not possible or are unclear, Tyr Formulations will use their best judgment and industry experience to suggest and work to a realistic alternative.

b. Where Client R&D Forms are returned incomplete or with otherwise sparse or superfluous information, Tyr Formulations will use their initiative and industry experience to design a formula in line with what information has been received.

3.Create one initial sample if Option 1 of Product Formulation Service is selected and one sample per session of paid REFINEMENT.

SECTION THREE:

On Payment of Associated Invoices, Client Agrees to the Below:

1.To carefully consider the type of products they wish to create and fill in Form(s) with accurate information to the best of their ability.

2.Allow Tyr Formulations up to 6 weeks initial lead time following initial payment for this service and delivery of first sample or paper formula depending on service option ordered.

a. Lead times are given in good faith and client accepts that requests for unusual or rare ingredients for use in development, as well as other reasons beyond our control, may in rare situations extend lead times beyond 6 weeks.

b. Unless otherwise requested, a single sample will be sent per sample round. Two samples can be generated and sent per round on request and can be sent to two separate addresses.

c. Clients residing outside of the UK will be charged at cost for sample sends; samples are sent via DHL, Royal Mail, UPS or FedEx unless otherwise stated.

3.Allow Tyr Formulations up to 3 weeks lead time to generate each subsequent sample following previous sample feedback from the client during the paid REFINEMENT process.

a. Lead times are given in good faith and client accepts that requests for unusual or rare ingredients for use in development, as well as other reasons beyond our control, may in rare situations extend lead times beyond 3 weeks.

4.Client accepts that product design in general has subjective elements, especially regarding ‘texture’, ‘background scent’ and ‘skin feel’ and that not all requests and suggestions made on Client R&D forms will be possible.

a. While Tyr Formulations can accommodate requests to create products that are similar to those already on the market, we cannot perfectly replicate existing products.

b. Samples generated by Tyr Formulations will attempt to follow the client vision as closely as possible but due to technical limitations, ingredient compatibility issues and other factors, end formulas may deviate in some way from initial requests. If a substantial deviation is expected, this will always be communicated clearly by Tyr Formulations, and suggestions offered.

5.Product type and format cannot be changed once Client R&D Forms have been submitted and payments received.

a. An example would be commissioning and agreeing to develop one type of product with Tyr Formulations, which has been confirmed as possible, and then attempting to switch to a different product type once the process has started. i.e., commissioning the development of a liquid hair conditioner and then requesting this be changed to a hard soap bar once development has started.

6.Tyr Formulations operates Monday-Friday, 08:00-16:00. Client messages sent outside of these hours will be responded to as quickly as possible on the next working day. Within the working week we aim to respond to all messages within 24 hours. Client understands that daily updates on multi-week projects are not feasible and are assured that Tyr Formulations will always be in contact when updates are ready.

7.Tyr Formulations specialises in formulating Personal Care Products. We are not directly involved in the large scale manufacture of products and we do not manufacture, design, or source packing and labels.

8.Once an R&D invoice is paid, the project is live, and this becomes a non-refundable service with no exceptions.

9. Client notes and accepts that Tyr Formulations is a Formulation House and ultimately provides Written Formulas, Select Technical Documents and/or Physical Reference Samples. Tyr Formulations is not directly involved in the larger scale manufacturing of products and is not responsible in any way for the end product manufactured by a 3rd party. Tyr Formulations does not liaise, technically support or communicate with 3rd part manufacturers that are selected by Clients. Tyr Formulations is not involved in any way with Client - Manufacturer relationships unless this has been expressly agreed in writing by all parties.
